1. The Service

Scorper is an AI-powered carousel content generator. The Service allows you to create text-based carousel images for social media using artificial intelligence.

2. Eligibility

You must be at least 18 years old to use the Service. By creating an account, you represent that you meet this requirement and that all information you provide is accurate and complete.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions & Payment

• Scorper offers a free trial period followed by a paid subscription ("Pro").
• Paid subscriptions are billed monthly via Stripe. By subscribing, you authorise recurring charges to your payment method.
• All fees are in US Dollars (USD) and are non-refundable. You may cancel at any time; cancellation takes effect at the end of the current billing cycle.
• We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new price.

5. Content Ownership

• Your content: You retain full ownership of all carousels, text, and images you create using the Service. We claim no intellectual property rights over your generated content.
• Your inputs: Any text, documents, images, or URLs you provide as input remain yours. We process them solely to deliver the Service and do not use them for any other purpose.
• Our service: Scorper, its branding, interface, underlying code, and AI prompts are the intellectual property of Grounded Labs FZCO. You may not copy, reverse-engineer, or redistribute any part of the Service.

6. Acceptable Use

You agree not to use the Service to:

• Generate content that is unlawful, defamatory, harassing, threatening, or fraudulent.
• Infringe upon the intellectual property or privacy rights of any third party.
• Distribute malware, spam, or any form of automated scraping or abuse of the Service.
• Attempt to gain unauthorised access to any part of the Service or its infrastructure.
• Resell, sublicense, or offer the Service to third parties as your own product.

We reserve the right to remove content and terminate accounts that violate this policy, without prior notice or refund.

7. AI-Generated Content

Content generated by the Service is produced using third-party AI models. While we strive for accuracy and quality, we do not guarantee that AI-generated content is factually correct, free from bias, or suitable for any particular purpose. You are solely responsible for reviewing and verifying all generated content before publishing or distributing it.

8. Availability & Modifications

We aim to keep the Service available at all times but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any feature of the Service at any time. We will make reasonable efforts to notify users of material changes.

9. Limitation of Liability

To the maximum extent permitted by law, Grounded Labs FZCO and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Grounded Labs FZCO from any claims, losses, or damages (including legal fees) arising from your use of the Service, your content, or your violation of these Terms.

11. Termination

Either party may terminate this agreement at any time. You may delete your account from the settings page. We may terminate your access if you breach these Terms. Upon termination, your right to use the Service ceases immediately. We may delete your stored data after a reasonable retention period.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

13. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
